To help you (and us), we’ve created a series of “legal packages” for projects which we commonly perform. Most of them have a set fee and you can rely on that fee in most situations. But you should always contact us to discuss your specific situation first.

  Legal Roadmap Sessions

Entrepreneurship is hard. Whether moonlighting, freelancing full time, running a small business, or scaling a startup. It’s hard.

To help, we can sit down for an hour to go through one (or more) legal issues impacting your business—from your business plan, to a specific contract, an intellectual property matter, or something else. Although an hour isn’t long enough to do a deep dive, we can do a high level review of risks, opportunities, partnerships, and the overall legal stability of your situation.

You’ll walk away feeling a bit scared, but more confident knowing what lies ahead.

  LLC/Corporate Formations

Designed for solopreneurs and freelancers.

This package includes a legal roadmap session and the formation of a Missouri or Kansas LLC. We’ll draft your single-owner operating agreement and associated member consent, create your digital minute book, and obtain your EIN from the IRS. We’ll cap it all off with e-signatures through DocuSign.

This package is identical to the Single-Owner LLC package above, however, we’ll include the relevant S-Corp tax provisions in your governing documents. (Technically, an S-Corp isn’t a business entity. It’s just a tax classification. Read more on that here.)

If you form an LLC taxed as an S-Corp, you should definitely meet with an accountant to discuss the financial side of the business and to have them file the election form with the IRS.

  Custom Contract Templates (and more)

We can create a custom NDA template for your business using one of several formats we use often:

  • Short-form Unilateral
  • Short-form Mutual
  • Long-form Unilateral
  • Long-form Mutual

Or if you need more than one, we can create a custom NDA library for an additional fee which includes multiple versions.

We’ll host a one-on-one meeting to discuss things to think about when signing up new clients, including describing services, invoicing and pricing, assigning intellectual property, and more.

Based on your preferences, we’ll draft a client agreement template to include the terms found in most client agreements. Most importantly, we’ll make sure the template matches the way you run your business (and if you are new and don’t know how you want to run it, we can give you tips).

In most cases, we’ll use the MSA/SOW format. Although, depending on your needs, we can use a different format.

We’ll host a one-on-one meeting to discuss the differences between employees and contractors and things to think about when hiring employees (for example, protecting confidential information, capturing ownership of intellectual property, running payroll, and more).

Based on your preferences, we’ll draft an employment agreement template to include the terms found in most employment agreements. Most importantly, we’ll make sure the template matches the way you run your business (and if you are new and don’t know how you want to run it, we can give you tips).

(Alternative: If you want something a little less formal, we can create an Offer Letter template for you. From a legal standpoint, it’s more or less the same. It just looks a bit less formal.)

We’ll host a one-on-one meeting to discuss the differences between employees and contractors and things to think about when hiring contractors (for example, protecting confidential information, capturing ownership of intellectual property, invoicing and payment, and more). This kind of independent contractor agreement will also work when you are hiring businesses to perform services for you.

Based on your preferences, we’ll draft a contractor agreement template to include the terms found in most contractor agreements. Most importantly, we’ll make sure the template matches the way you run your business (and if you are new and don’t know how you want to run it, we can give you tips).

In most cases, we’ll use the MSA/SOW format. Although, depending on your needs, we can use a different format.

In addition to drafting the templates above, we can do a lot more. Other common requests we get include the following:

  • Custom Contract Templates: If the template you need isn’t listed above, we can often create a custom package to help you get what you need. For example, a purchase agreement, corporate resolutions, governing documents, or something else.
  • Contract Review: When someone asks you to review and sign a contract, we can help you review the document to look for red flags, abnormal language, or unreasonable allocations of risk. (We commonly charge a fixed fee of $300 for this, depending on the type, length, and quality of the document.)
  • Contract Editing, Redlining, and Negotiation: We can help you edit contracts other parties ask you to sign, which can include leaving comments in an email or the document itself, creating redline changes, negotiating with the other party or their lawyer, and more. (We usually charge $250/hour for this service.)

  Trademark Packages

We’ll host a one-on-one meeting to discuss trademark law, what you can protect, what you can’t protect, and what International Class and Goods/Services Description best fits your trademark. We will draft a formal trademark search request and provide a written review of the results (typically 100+ pages) for potential conflicts and offer guidance on potential next steps to protect your trademark.

Investment: $500 plus third-party search fee*
(Once paid, this fee can be used as a credit towards the application package in most situations.)

This package includes everything in the Search & Advice Package, plus we’ll provide additional recommendations for your trademark application with the USPTO. We’ll then draft and file your application and handle basic post-application correspondence (not including appeals).

Investment: $900 plus third-party search fee and USPTO filing fees*
(If you previously purchased the Search & Advice Package, that payment can be used as a credit here in most situations.)

If you’ve filed an Intent to Use application (rather than an application based on actual use), then you must file an allegation of use after your application is approved along with evidence of your actual use (called a specimen). There are additional filing fees and legal fees associated with this filing.

  Packages for Website Owners

We’ll host a one-on-one meeting to discuss your liability stemming from running a website and how implementing website legal terms can protect your business. We’ll draft custom Terms of Service (which is effectively a contract between you and your website visitors), a custom Privacy Policy (your policy regarding what information you collect and how you use it), and when applicable we will include a DMCA Policy along with guidance on how to register with the Copyright Office for DMCA purposes.

This package is almost identical to the Terms of Service, Privacy Policy, & DMCA Policy package above.

However, with SaaS products, you sometimes need a different format for signing up customers. For example, many B2B businesses will have some form of cover sheet or purchase order. In those cases, you need a reliable sign up form that properly references and incorporates your Terms of Service and other website legal terms.

This package includes those extra steps/documents.
